We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Services constitutes acceptance of the modified Terms.

Atragate provides technology consulting and development services, including but not limited to:

• Web application development and maintenance
• Backend system development using Laravel framework
• Frontend development with modern UI frameworks
• API development and integration
• Payment gateway integration
• Database design and optimization
• Technical consultation and advisory services
• Project management and delivery

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials

• Ensuring your account information remains accurate and up-to-date

4.2 Client Intellectual Property

You retain ownership of any intellectual property you provide to us. By using our Services, you grant us a non-exclusive, royalty-free license to use your intellectual property solely for the purpose of providing the Services.

4.3 Work Product

Unless otherwise specified in a separate agreement, any work product created specifically for you will be owned by you upon full payment of applicable fees.

5. Payment Terms

5.1 Fees and Payment

Payment terms will be specified in individual project agreements or service contracts. Generally, fees are due according to the payment schedule agreed upon for each project.

5.2 Payment Methods

We accept various payment methods including bank transfers, mobile payments (M-Pesa), and other digital payment solutions as specified in project agreements.

5.3 Late Payments

Late payments may result in suspension of services and may incur additional charges as specified in the applicable agreement.

5.4 Refunds

Refund policies will be specified in individual service agreements. Generally, refunds are not provided for completed work unless otherwise agreed upon.

6. Project Terms and Deliverables

6.1 Project Scope

Project scope, deliverables, timelines, and specifications will be detailed in separate project agreements or statements of work.

6.2 Client Responsibilities

You agree to:

• Provide necessary information and resources in a timely manner
• Participate in project reviews and approvals as required
• Provide feedback within agreed-upon timeframes
• Ensure access to necessary systems and data

6.3 Changes to Project Scope

Changes to project scope may require additional time and fees. Any scope changes must be agreed upon in writing and may affect project timelines and costs.

7. Prohibited Uses

You may not use our Services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Services

8. Confidentiality

We understand the importance of confidentiality in our business relationships. We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law.

You agree to maintain the confidentiality of any proprietary information we may share with you during the course of providing our Services.

9. Limitation of Liability

In no event shall Atragate, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

Our total liability to you for any damages arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Warranty Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included on or otherwise made available to you through the Services.

We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Atragate and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

12. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services and contact us to request account deletion.

13. Governing Law

These Terms shall be interpreted and governed by the laws of Kenya, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes may be submitted to binding arbitration or resolved in the courts of Kenya.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services.
